HOW TO LODGE A NOTICE OF CESSATION OF OFFICE OF COMPANY SECRETARY

The Companies Act, 2015 places a duty on public companies to notify the Registrar a change of secretary or joint secretary. This notice is to be lodged within fourteen days after a person who was appointed to be its secretary or one of its joint secretaries ceases be a secretary of the company.

 The Notice of Cessation of Office of Secretary is lodged through Form CR13 to the Registrar of Companies and it costs Kshs. 550. It is important to note that no document is issued by the Registry as the changes are reflected on the company records and the application takes one day to be processed.
