A private company limited by share is a type of company whose share capital and the liability of each member is limited to the amount, if any, unpaid on their shares. The membership of a private company is up to a maximum of fifty (50) members and it cannot offer its shares for sale to the general public.

Documents Required Register a Private Limited Company In Kenya
The following documents should be lodged through the ecitizen platform to incorporate a company at the Companies Registry for registration.
- The Company Registration Form (Form CR1).
- Application for reservation of a Company Name (Form CR14).
- Memorandum of Association.
- Particulars of the Directors (Form CR2)
- Particulars of the Secretary (Form CR10).
- Statement of Nominal Capital.
- Articles of Association however if model articles are adopted in their entirety no need for a copy to be lodged at the Companies Registry for filing arises.
- The Notification of the Residential Address of Directors (Form CR8 )
- The Notification of the Residential Address of the Company Secretary (Form CR12).
- A copy of the Kenyan National Identification of each Director and Secretary or, copy of the Kenyan foreigner certificate, or in the case of a director who is not a Kenyan citizen and is not resident in Kenya, a copy of that director’s passport.
- A passport-sized photograph of each director and the company secretary.
It is important to note that an application for the registration of a private company takes between 3-5 days.
