HOW TO REGISTER A PRIVATE LIMITED COMPANY IN KENYA

A private company limited by share is a type of company whose share capital and the liability of each member is limited to the amount, if any, unpaid on their shares. The membership of a private company is up to a maximum of fifty (50) members and it cannot offer its shares for sale to the general public.

The fee payable for the registration of a private limited company in Kenya is Kshs. 10,650/=. 

Documents Required Register a Private Limited Company In Kenya

The following documents should be lodged through the ecitizen platform to incorporate a company at the Companies Registry for registration.

  1. The Company Registration Form (Form CR1).
  2. Application for reservation of a Company Name (Form CR14).
  3. Memorandum of Association.
  4. Particulars of the Directors (Form CR2)
  5. Particulars of the Secretary (Form CR10).
  6. Statement of Nominal Capital.
  7. Articles of Association however if model articles are adopted in their entirety no need for a copy to be lodged at the Companies Registry for filing arises.
  8. The Notification of the Residential Address of Directors (Form CR8 )
  9. The Notification of the Residential Address of the Company Secretary (Form CR12).
  10. A copy of the Kenyan National Identification of each Director and Secretary or, copy of the Kenyan foreigner certificate, or in the case of a director who is not a Kenyan citizen and is not resident in Kenya, a copy of that director’s passport.
  11. A passport-sized photograph of each director and the company secretary.

It is important to note that an application for the registration of a private company takes between 3-5 days.
